1. Subject

These Terms and Conditions govern the use of ShareMySub’s services accessible at https://sharemysub.com/(hereinafter referred to as the “Site”). They apply to all services offered by ShareMySub, without restriction.

The Site operates as an intermediary platform connecting users who hold subscriptions (hereinafter referred to as “Subscriptions”) to digital platforms provided by content distributors (hereinafter referred to as “Distributors”) and who wish to share access to those subscriptions with others (hereinafter referred to as “Owners”), with users seeking access to these services (hereinafter referred to as “Subscribers”).

Owners and Subscribers are collectively referred to as “Users.” The Site enables Users to share the cost of subscription services (hereinafter the “Services”).

These Terms outline the rules for using the Services and define the responsibilities and obligations of each party. They may be accessed and printed via a permanent link located at the bottom of each page of the Site.

These sales conditions take precedence over any other general or special terms not expressly accepted by ShareMySub. Additional specific terms may be applied to particular services. In the event of a conflict, these specific terms will override the general ones.

3. Notices on subscription sharing

• If you decide to share access to a service, you must ensure compliance with the applicable terms and user limitations set by the respective provider (the “Sharing Rules”)
• Prior to creating or joining a subscription group, you will be required to confirm your compliance with these Sharing Rules.
• You are solely responsible for adhering to these rules. ShareMySub is not liable for any access loss or penalties incurred due to your failure to follow the Sharing Rules or due to use of ShareMySub in violation of those rules.
• ShareMySub may immediately limit or revoke your use of the platform if it believes your activity breaches the terms of a service provider.
• The Site incorporates safeguards to prevent violations of popular services (e.g., Netflix, Spotify). Attempts to bypass these systems may lead to suspension or removal.
• Certain Site features require identity verification. If this verification fails, ShareMySub reserves the right to withhold access to related services.

4. Description of Services

4.1. Services for Owners

• Owners may list and share their Subscriptions with other Users, provided that the respective Distributor allows shared access.
• Owners must respond to participation requests within 48 hours. If no response is provided within that window, the request expires.
• Once a request is accepted, the Owner will send access details within 12 hours via the Site’s internal messaging system.
• ShareMySub processes payments to the Owner only after collecting the Subscriber’s contribution. If a subscription is terminated, access for Subscribers continues for up to 30 days following their last valid payment.

4.2. Services for Subscribers

If you create a subscription plan, you agree to:

• Subscribers may submit access requests to Owners. These requests are processed based on Owner approval.
• Upon confirmation, ShareMySub immediately deducts the first subscription payment.
• Multiple requests may be sent at once. However, no refunds are granted if several requests are accepted at the same time.
• If a subscription ends prematurely, ShareMySub will reimburse any unused portion of the paid period.

4.3. Internal Messaging

Users may communicate through the Site’s messaging tools. ShareMySub reserves the right to access this communication in legal contexts if necessary.

5. Site Registration

• Users must complete a registration form to create an account on the Site.
• The User guarantees the accuracy of submitted data and must agree to the Terms and the terms of the payment provider (e.g., Stripe).
• Upon registration, Users will receive an activation email unless registration was completed via a third-party login.
• Users are responsible for maintaining the confidentiality of their login credentials. ShareMySub is not responsible for misuse or loss of login details.
• Users agree to use the Services lawfully and ethically. They hold ShareMySub harmless from claims arising from misuse.
• ShareMySub or its payment processor may deny registration at their discretion.
• Only one account per individual or legal entity is allowed. Any attempts to create multiple accounts may lead to account suspension and voiding of any related transactions.

6. Subscription Creation and Management

6.1. Creation

• A logged-in User may create a shared subscription after accepting the Terms. Mandatory fields include:
• Subscription category
• Subscription name
• Subscription description and usage terms
• Owner’s full name
• Participation amount and currency
• Participant limit
• Payment frequency
• Cost-sharing model
• Private usage instructions (shown only to accepted participants)
• Subscription names, descriptions, and organizer names must reflect the actual use case.
• Owners must not profit beyond cost recovery. Misrepresentation is subject to termination and legal action. Owners may be asked to provide proof of service cost.
• Owners receive a private invitation link to share with potential Subscribers.

6.2. Management

Owners can:

• Invite participants
• Track payments
• End subscriptions (permanently halts payments)
• Communicate with participants via secure chat
• Edit subscription info
• Withdraw funds once total earnings exceed $10/€10

7. Joining Groups

7.1. Users may join a group by:

• Accepting an invite
• Searching public groups and submitting a request
• Finding groups linked via connected social accounts

7.2. Users must truthfully confirm their relationship to the group Owner and must not:

• Misrepresent eligibility
• Circumvent Sharing Rules
• Facilitate rule-breaking behavior

7.3. Failure to comply may result in:

• Account suspension or termination
• Legal claims and reimbursement
• Notification of authorities

8. Payment and Fees

• ShareMySub is free for Owners aside from platform connection fees. A commission is taken from Subscriber payments. Prices reflect local taxes.
• Owners may update pricing at any time. ShareMySub notifies Subscribers at least 30 days in advance.
• Invoices are available in each User’s dashboard.
• Payments are handled by Stripe. ShareMySub does not store payment information.
• In cases of payment agreement, obligations between parties may be legally offset.
• If payments fail after three attempts, services are suspended. A fee of up to €15 may be applied.

9. Waiver of Withdrawal Right

Users waive their right to cancel upon registration, as services begin immediately. This complies with applicable consumer protection laws.

10. Evidence Agreement

Activity logs from the Site serve as valid legal proof of usage and transactions. Users can access their logs from their accounts.

11. Acceptable Use Rules

Users must not:

• Bypass platform controls or interfere with system security
• Arrange external payments or engage in off-platform transactions
• Use false identities or unauthorized access
• Break Sharing Rules
• Post or share offensive, false, or unauthorized content
• Use bots, scrapers, or automated data tools

12. User Responsibility

Users agree not to cause legal action against ShareMySub through their conduct. They accept liability for resulting claims or damages.

13. Platform Liability

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in the courts of Delaware.

• ShareMySub operates under a duty of care but does not guarantee results.
• ShareMySub does not moderate user content and is not liable for it.
• ShareMySub only provides tools and does not contract on behalf of Users.
• ShareMySub does not guarantee earnings.
• Platform access may be suspended for maintenance.
• Services are offered as standard and not customized.
• Liability is limited to proven direct damages.

14. Intellectual Property

Site content and systems are protected by intellectual property laws. Unauthorized use is prohibited.

15. Personal Data

Please refer to the Privacy Policy for details on data handling.

16. Third-Party Sites

ShareMySub is not responsible for third-party site availability or content.

17. Force Majeure

Neither party is liable for disruptions due to unforeseeable events. Prolonged disruption beyond 30 days may justify termination.

18. Modifications

Terms may change. Users will be informed via email. Continued use implies acceptance.

19. Dispute Resolution

Disputes may be handled via consumer mediation or the EU ODR platform.

20. Governing Law

These terms are governed by the laws of United Kingdom.
